Terms of Service

1. Services Overview 1.1 Subscription Services (Web, AI & Automation)

• The "Unlimited Subscription" provides ongoing website updates, AI agent training, and automation management on a subscription basis

• One active request/task at a time

• Unlimited revisions within the active scope

• Turnaround time: 2-3 business days per standard request (average)

• Monthly subscription with automatic renewal

1.2 Project-Based Services

• One-time custom website builds (e.g., 14-day sprints) and AI integration projects quoted individually

• Scope, strategy, and deliverables defined before the project starts

• Revision limits specified in the project quote

• Timeline agreed upon before project commencement

2. Service Terms 2.1 Subscription Terms

• Month-to-month subscription with no minimum commitment

• 30-day notice required for cancellation

• Subscription pausing available with 15-day notice

• Unused time does not roll over to the next month

• Services are non-transferable to other parties

2.2 Project-Based Terms

• 50% deposit required to commence work

• Final payment due before the deployment/delivery of the live site and final assets

• Project timeline begins upon receipt of deposit and all required client materials

• Rush fees may apply for expedited timelines

3. Scope of Work 3.1 Included Services

• Custom website design and development

• AI agent setup, training, and integration

• Business automations (CRM, email, WhatsApp, payments)

• UI/UX design and wireframing

• Conversion strategy and funnel mapping

• Basic technical SEO setup

3.2 Excluded Services

• Complex 3D rendering

• Professional video production

• Native mobile app development

• Original photography

• Hardware deployment or IT networking

4. Client Responsibilities 4.1 Required Materials

• Brand guidelines (if existing)

• Website content and copy (unless copywriting is included in the quote)

• High-resolution images and logos

• Project brief and functionality requirements

• Timely feedback and approvals

4.2 Communication

• Single point of contact designated for project management

• Response within 3 business days for feedback

• Clear articulation of revision requests

• Availability for scheduled strategy and discovery meetings

5. Intellectual Property 5.1 Rights and Ownership

• Client receives full ownership of final website code, design deliverables, and configured automation flows upon full payment

• Hexin Studios retains rights to preliminary concepts, wireframes, or AI agent architectures not chosen

• Hexin Studios maintains portfolio rights to showcase the work and list the client's logo

• Client is responsible for their own trademark/copyright research for brand names and assets

5.2 Source Files & Access

• Administrative access to CMS, domains, and automation platforms transferred upon final payment

• Standard deliverables provided in industry-standard formats

• Native working design files (e.g., Figma) available for an additional fee if not included in the original scope

6. Revisions and Amendments 6.1 Subscription Revisions

• Unlimited revisions within the original scope

• Major strategic direction changes count as new requests

• Revisions must be requested within 14 days of delivery

6.2 Project Revisions

• Number of revisions specified in the specific project quote

• Additional revisions billed at our standard hourly/daily rate

• Scope changes require an updated quote and timeline extension

7. Termination 7.1 Subscription Termination

• 30-day written notice required

• Pro-rated refund for the unused portion (if applicable based on the agreement)

• Active projects must be completed or immediately terminated

• Final assets and platform access delivered upon account settlement

7.2 Project Termination

• Kill fee of 25% if terminated before completion

• All work completed and paid for becomes client property

• Unused portion of the deposit is non-refundable after significant work begins

8. Payment Terms 8.1 Subscription Payments

• Monthly billing on the subscription start date

• Auto-payment setup required

• Late payments will result in a pause of active service

• Failed payments incur a $25 (or equivalent INR) administrative fee

8.2 Project Payments

• 50% deposit upon agreement signature

• Remaining 50% before final site launch/delivery

• Late payments incur 1.5% monthly interest

• Payment plans available only upon prior written request

9. Confidentiality

• Non-disclosure of client business metrics, proprietary strategies, and customer data

• Secure storage of client materials and API keys

• Private project details remain confidential unless authorized for portfolio use

• Confidentiality extends post-project completion

10. Limitation of Liability

• Maximum liability limited to the total project/subscription fees paid

• No responsibility for third-party platform outages (e.g., Make, n8n, OpenAI, Shopify)

• No absolute guarantee of specific business results or revenue numbers, despite strategic optimization

• Force majeure clause applies for circumstances beyond reasonable control

11. Dispute Resolution

• Good faith negotiation is the required first step

• Mediation required before any litigation

• Jurisdiction: Bengaluru, Karnataka, India

• The prevailing party is entitled to recover legal fees

12. Modifications

• Terms may be updated by Hexin Studios with a 30-day notice

• Active subscription clients will be notified via email

• Continued use of services constitutes acceptance of updated terms

• Special terms or enterprise exceptions require a written agreement
